1.3 Board of Trustees of Ithaca College (Charter -- Bylaws -- Procedures)The board of trustees is the legal governing body and the chartered legal entity for Ithaca College. As such, it is the final institutional authority and grants all degrees awarded by the institution, upon the recommendation of the faculty and president. Its primary responsibility is the articulation of general educational policies and academic goals. In so doing, it is obligated to ensure the financial resources of the College and to relate them to the likely needs of the future, and to assure that the College's tradition serves as a prelude to and inspiration for the future of the institution. While maintaining a general overview, the board entrusts to the president the authority and responsibility for all College educational and managerial affairs.
THE UNIVERSITY OF THE STATE OF NEW YORK CHARTER OF THE ITHACA CONSERVATORY AND AFFILIATED SCHOOLS THIS INSTRUMENT WITNESSETH That the Regents of the University of the State of New York have granted this charter incorporating George C. Williams, W. Grant Egbert, B. L. Johnson, Ruth R. Williams and Charles H. Blood and their associates and successors as an educational institution for the giving of instruction in all branches of music, elocution, physical education, and such of the fine arts as the trustees shall, from time to time, determine to include in the curriculum of the institution, with power to confer the following degrees: Bachelor of Music (Mus.B.), Bachelor of Physical Education (B. Phys.E.) and Bachelor of Oral English (B.O.E.) under the corporate name of The Ithaca Conservatory and Affiliated Schools, to be located in the city of Ithaca, New York, with persons named as incorporators for its first board of trustees, to hold until their successors shall be chosen by the members of the corporation, with power therein to increase or decrease its membership in such manner, and upon such terms as shall be provided for by the general rules of its trustees, and with power in them from time to time, by unanimous vote of their full board, to fix their terms of office and their number to be not more than twenty-five nor less than five.
THE UNIVERSITY OF THE STATE OF NEW YORK AMENDMENT TO CHARTER OF THE ITHACA CONSERVATORY AND AFFILIATED SCHOOLS THIS INSTRUMENT WITNESSETH That the Regents of the University of the State of New York have amended the charter granted January 21, 1926, to the Ithaca Conservatory and Affiliated Schools, Ithaca, New York, by changing the name of the institution from the Ithaca Conservatory and Affiliated Schools to Ithaca College, and by canceling the power heretofore granted by the Regents to confer degrees of Bachelor of Physical Education and Bachelor of Oral English, and substituting therefor the power to confer the degree of Bachelor of Science, in conformity with the rules of the Regents of the University and the regulations of the Commissioner of Education for the registration of institutions of higher education.
THE UNIVERSITY OF THE STATE OF NEW YORK AMENDMENT TO CHARTER OF ITHACA COLLEGE THIS INSTRUMENT WITNESSETH That the Regents of the University of the State of New York have amended the charter of Ithaca College, Ithaca, - which was originally incorporated by the Regents on January 21, 1926, under the name of The Ithaca Conservatory and Affiliated Schools, said charter having been amended on March 19, 1931, by changing the name of the institution to Ithaca College, and by making certain changes in its degree-conferring powers, - so that the institution will be authorized to give instruction in all branches of music, physical education, nursing, speech, drama, radio and such of the fines arts and other special subjects as the trustees shall from time to time determine and include in the curriculum of the institution, with power to confer the following degrees in course; Bachelor of Music (Mus.B.), Bachelor of Science (B.S.), Bachelor of Fine Arts (B.F.A.), Master of Science (M.S.), Master of Fine Arts (M.F.A.), and Master of Music (Mus.M.) ; and, in addition, the honorary degrees of Doctor of Fine Arts (D.F.A.) and Doctor of Music (Mus.D.), in conformity with the rules of the Regents of the University and the regulations of the Commissioner of Education for the registration of institutions of higher education.

THE UNIVERSITY OF THE STATE OF NEW YORK EDUCATION DEPARTMENT AMENDMENT TO CHARTER ITHACA COLLEGE THIS INSTRUMENT WITNESSETH That the Regents of The University of the State of New York have amended the charter of Ithaca College, Ithaca, which was originally incorporated by the Board of Regents on January 21, 1926, under the name of Ithaca Conservatory and Affiliated Schools, said charter having been amended by the Regents on March 19, 1931, by changing the corporate name of the institution to Ithaca College and by making certain changes in its degree-conferring powers, and further amended by the Regents on February 19, 1943, September 15, 1950, May 24, 1957 and April 25, 1958, - by increasing the maximum number of trustees to 30, provided that the maximum number shall not exceed 25 after October 31, 1977.
THE UNIVERSITY OF THE STATE OF NEW YORK EDUCATION DEPARTMENT AMENDMENT TO CHARTER ITHACA COLLEGE THIS INSTRUMENT WITNESSETH That the Regents of The University of the State of New York, have amended the charter of Ithaca College, Ithaca, which was originally incorporated by the Board of Regents on January 21, 1926, under the name of The Ithaca Conservatory and Affiliated Schools, said charter having been amended by the Regents on March 19, 1931 by changing the corporate name of the institution to Ithaca College and by making certain changes in its degree-conferring powers, and further amended by the Regents on February 19, 1943, September 15, 1950, May 24, 1957, April 25, 1958 and October 27, 1972, is further amended to increase the authorized maximum number of trustees to 28.
THE UNIVERSITY OF THE STATE OF NEW YORK EDUCATION DEPARTMENT ITHACA COLLEGE AMENDMENT TO CHARTER THIS INSTRUMENT WITNESSETH That the Board of Regents for and on behalf of the Education Department of the State of New York at their meeting of September 23, 1994, An application having been made by and on behalf of the trustees of Ithaca College, for an amendment of its charter, it was Voted, that the absolute charter in the first instance of Ithaca College, located in Ithaca, county of Tompkins, state of New York, which was granted by action by the Board of Regents under the corporate name "The Ithaca Conservatory and Affiliated Schools" on January 21, 1926; which absolute charter was amended by the Regents action on March 19, 1931 to change the corporate name to "Ithaca College," to delete authority for the college to confer the degrees of Bachelor of Physical Education (B. Phys. Ed.) and Bachelor of Oral English (B.O.E.) and to add authority for the college to confer the degree of Bachelor of Science (B.S.); February 19, 1943, September 15, 1950, May 24, 1957, April 25, 1958, October 27, 1972 and January 17, 1984 be, and the same hereby is, amended to add the following language: Notwithstanding any other provision of these articles, the corporation shall not carry on any other activities not permitted to be carried on (a) by a corporation exempt from Federal income tax under section 501(c)(3) of the Internal Revenue Code of 1986 (or the corresponding provision of any future United States Internal Revenue Law) or (b) by a corporation, contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code of 1986 (or the corresponding provision of any future United States Internal Revenue Law). No substantial part of the activities of the corporation shall be devoted to carrying on propaganda, or otherwise attempting to influence legislation (except to the extent authorized by Internal Revenue Code section 501(h) as amended, or the corresponding provision of any future United States Internal Revenue Law, during any fiscal year or years in which the corporation has chosen to utilize the benefits authorized by the statutory provision), and the corporation shall not participate in or intervene (including the publishing or distribution of statements) in any political campaign on behalf of any candidate for public office. Upon dissolution of the corporation, the board of trustees shall, after paying or making provision for payment of all the liabilities of the corporation, dispose of the remaining assets of the corporation exclusively for one or more exempt purposes, within the meaning of section 501(c)(3) of the Internal Revenue Code of 1986 (or the corresponding provision of any future Federal tax code), or shall distribute the same to the Federal government, or to a state or local government, for a public purpose. Any such assets not so disposed of shall be disposed of by order of the Supreme Court of the State of New York in the judicial district where the principal office of the corporation is then located, exclusively for such purposes or to such organization or organizations, organized and operated exclusively for such purposes, as said Court shall determine.
THE UNIVERSITY OF THE STATE OF NEW YORK EDUCATION DEPARTMENT ITHACA COLLEGE AMENDMENT TO CHARTER THIS INSTRUMENT WITNESSETH That the Board of Regents for and on behalf of the Education Department of the State of New York at their meeting of February 8, 2000, An application having been made by and on behalf of the trustees of Ithaca College, for an amendment of its charter, it was Voted, that the absolute charter in the first instance of Ithaca College, located in Ithaca, county of Tompkins, state of New York, which was granted by action by the Board of Regents under the corporate name "The Ithaca Conservatory and Affiliated Schools" on January 21, 1926; which absolute charter was amended by the Regents action on March 19, 1931 to change the corporate name to "Ithaca College," to delete authority for the college to confer the degrees of Bachelor of Physical Education (B. Phys. Ed.) and Bachelor of Oral English (B.O.E.) and to add authority for the college to confer the degree of Bachelor of Science (B.S.); February 19, 1943, September 15, 1950, May 24, 1957, April 25, 1958, October 27, 1972, January 17, 1984 and September 23, 1994 be, and the same hereby is, amended to add authority for the College to confer the degree of Master of Business Administration (M.B.A.).
THE UNIVERSITY OF THE STATE OF NEW YORK EDUCATION DEPARTMENT ITHACA COLLEGE AMENDMENT TO CHARTER THIS INSTRUMENT WITNESSETH That the Board of Regents for and on behalf of the Education Department of the State of New York at their meeting of December 17, 2004, An application having been made by and on behalf of the trustees of Ithaca College, for an amendment of its charter, it was Voted, that the absolute charter in the first instance of Ithaca College, located in Ithaca, county of Tompkins, state of New York, which was granted by action by the Board of Regents under the corporate name "The Ithaca Conservatory and Affiliated Schools" on January 21, 1926; which absolute charter was amended by the Regents action on March 19, 1931 to change the corporate name to "Ithaca College," to delete authority for the college to confer the degrees of Bachelor of Physical Education (B. Phys. Ed.) and Bachelor of Oral English (B.O.E.) and to add authority for the college to confer the degree of Bachelor of Science (B.S.); February 19, 1943, September 15, 1950, May 24, 1957, April 25, 1958, October 27, 1972, January 17, 1984, September 23, 1994, and February 8, 2000 be, and the same hereby is, amended to add authority for the College to confer the degree of Doctor of Physical Therapy (D.P.T.).
THE UNIVERSITY OF THE STATE OF NEW YORK EDUCATION DEPARTMENT ITHACA COLLEGE AMENDMENT TO CHARTER THIS INSTRUMENT WITNESSETH That the Board of Regents for and on behalf of the Education Department of the State of New York at their meeting of February 8, 2005, An application having been made by and on behalf of the trustees of Ithaca College, for an amendment of its charter, it was Voted, that the absolute charter in the first instance of Ithaca College, located in Ithaca, county of Tompkins, state of New York, which was granted by action by the Board of Regents under the corporate name "The Ithaca Conservatory and Affiliated Schools" on January 21, 1926; which absolute charter was amended by the Regents action on March 19, 1931 to change the corporate name to "Ithaca College," to delete authority for the college to confer the degrees of Bachelor of Physical Education (B. Phys. Ed.) and Bachelor of Oral English (B.O.E.) and to add authority for the college to confer the degree of Bachelor of Science (B.S.); February 19, 1943, September 15, 1950, May 24, 1957, April 25, 1958, October 27, 1972, January 17, 1984, September 23, 1994, February 8, 2000, and December 17, 2004 be, and the same hereby is, amended to increase the maximum number of trustees from twenty-eight to thirty-five.

Phys.
